1. Acceptance of Terms

By downloading, installing, accessing, or using LocalDocuVault Beta ("the Application"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, do not download, install, access, or use the Application.

2. Beta Status

2.1. You acknowledge that the Application is in beta and is provided for testing and evaluation purposes.

2.2. The Application may contain errors, bugs, or other issues that could cause system failures, data loss, or other problems.

2.3. The beta version is not intended for use in any environment where failure could lead to personal injury, death, or property or environmental damage.

3. License

3.1. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Application for personal, non-commercial purposes during the beta testing period.

3.2. You may not:

Modify, reverse engineer, decompile, or disassemble the Application
Distribute, sublicense, lease, rent, loan, or otherwise transfer the Application to any third party
Remove, alter, or obscure any proprietary notices on the Application
Use the Application for any illegal purpose

4. Feedback

4.1. We welcome your feedback on the Application. By providing feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use your feedback without any obligation to compensate you.

5. Privacy and Data

5.1. The Application processes and stores all data locally on your device.

5.2. We do not collect, store, or transmit any of your documents or personal information.

5.3. We do not collect, store, or transmit any analytics outside your local environment.

5.4. You are solely responsible for all documents and data processed through the Application.

6. Updates and Modifications

6.1. During the beta period, we may provide updates to the Application that fix bugs, improve features, or add new functionality.

6.2. You agree that we may update the Application automatically or require you to install updates manually to continue using the Application.

6.3. By downloading and installing any update to the Application, you agree to be bound by these Terms and any amended Terms that accompany the update.

6.4. If you do not accept an update or amended Terms, your sole remedy is to discontinue use of the Application.

6.5. Some updates may cause temporary disruption of functionality or loss of certain features. We are not liable for any consequences resulting from updates.

6.6. We will notify you of updates through in-app notifications and/or email communications to the address associated with your account.

7. Disclaimer of Warranties

7.1. THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED.

7.2. WE EXPLICITLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, AND ANY WARRANTIES THAT MAY ARISE FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE.

7.3. WE DO NOT WARRANT THAT THE APPLICATION WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

7.4. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY US OR OUR AUTHORIZED REPRESENTATIVES SHALL CREATE A WARRANTY OR IN ANY WAY INCREASE THE SCOPE OF OUR OBLIGATIONS.

8. Limitation of Liability

8.1. TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM:

THE USE OR INABILITY TO USE THE APPLICATION
ANY DATA LOSS, CORRUPTION, OR EXPOSURE
UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA
ANY BUGS, VIRUSES, OR OTHER HARMFUL CODE THAT MAY BE TRANSMITTED THROUGH THE APPLICATION
ANY ERRORS OR OMISSIONS IN THE APPLICATION'S CONTENT OR FUNCTIONALITY

8.2. OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS, IN THE AGGREGATE, SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE APPLICATION, IF ANY.

9. Indemnification

9.1. You agree to defend, indemnify, and hold us harmless from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your use of the Application.

10. Termination

10.1. We may terminate these Terms with or without cause, without notice, and without liability to you.

11. Changes to Terms

11.1. We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the updated Terms in the Application.

11.2. Your continued use of the Application after such modifications will constitute your acceptance of the revised Terms.

12. Governing Law

12.1. These Terms shall be governed by and construed in accordance with the laws of Berlin, Germany, without regard to its conflict of law provisions.

13. Dispute Resolution

13.1. Any dispute arising from or relating to these Terms or the Application shall be resolved through binding arbitration in accordance with the rules of the German Arbitration Institute (DIS).

13.2. You agree to resolve any disputes on an individual basis and waive any right to bring a class action.

14. GDPR Compliance

14.1. As a company based in Germany, we are committed to complying with the General Data Protection Regulation (GDPR) and other applicable EU data protection laws.

14.2. You have the following rights regarding your personal data:

Right to access your personal data
Right to rectification of inaccurate data
Right to erasure ("right to be forgotten")
Right to restriction of processing
Right to data portability
Right to object to processing
Right to withdraw consent

15. Severability

15.1. If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the Terms will otherwise remain in full force and effect.

16. Entire Agreement

16.1. These Terms constitute the entire agreement between you and us regarding the Application and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral.
