LocalDocuVault - Terms of Use
1. Acceptance of Terms
By downloading, installing, accessing, or using LocalDocuVault ("the Application"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, do not download, install, access, or use the Application.
2. Payments and Refunds
All payments for app licenses are processed through our payment provider, Lemon Squeezy, which serves as the Merchant of Record (MoR). When a customer makes a purchase through Lemon Squeezy, an order is created, and this order is associated with the customer's account. The Lemon Squeezy platform automatically handles payment processing and license delivery. You can find more details about the order object and its properties in the Lemon Squeezy API Reference located at https://docs.lemonsqueezy.com/api.
2.1. Refund Policy for EU Consumers
If you are a consumer located in the European Union:
Withdrawal Right: You have the right to withdraw from your license key purchase within 14 days without providing any justification.
Waiver of Withdrawal Right: By purchasing a license key and requesting immediate delivery via email, you expressly consent to immediate performance of the digital content delivery. You acknowledge that by receiving your license key immediately, you lose your right of withdrawal. If you do not consent to immediate delivery and waiver of withdrawal rights, please contact us before purchase.
Conformity Guarantee: If the license key does not work as described or the Application contains defects that impair its functionality, you have the right to demand repair or replacement. If repair or replacement is impossible or fails, you may be entitled to a price reduction or refund.
2.2. Refund Policy for Non-EU Consumers
We do not offer refunds or money-back guarantees for purchased licenses to non-EU consumers. This policy exists because we provide a free demonstration version of our application that allows you to fully evaluate the software's features, performance, and functionality before making a purchase decision.
2.3. Pre-Purchase Evaluation
Before purchasing a license, you are encouraged to:
- Download and thoroughly test the free demo version
- Evaluate whether the application meets your needs and expectations
- Assess the software's compatibility with your system
- Review all features available in the unrestricted version
2.4. Payment Disputes
We are committed to ensuring customer satisfaction and assisting with any issues. To ensure a swift and effective resolution, we have established the following dispute resolution process:
- (a) Initial Contact with Support: For any questions or issues related to payments, billing, or refunds, you agree to first contact our support team at support@localdocuvault.com. We will make a good-faith effort to resolve the issue directly with you.
- (b) Role of the Merchant of Record: All payments are processed by our Merchant of Record, Lemon Squeezy. While we ask that you contact us first, you may have rights and recourse directly through Lemon Squeezy or your payment provider (e.g., credit card company). Please be aware that our refund policies are subject to Lemon Squeezy's own terms and their right to issue refunds at their discretion to prevent chargebacks.
- (c) Chargeback Policy: A chargeback is the reversal of a payment initiated by your bank or card issuer. Initiating a chargeback without first contacting our support team to resolve the issue constitutes a breach of these Terms and Conditions.
- (d) Consequences of a Chargeback:If you issue a chargeback, we reserve the right to:
- Immediately and permanently revoke the software license key associated with the disputed payment.
- Terminate any associated user account and access to our services.
- Block the email address and payment details used from making future purchases. We take chargebacks seriously as they are a costly and often unnecessary process. We encourage you to contact us first to avoid these measures.
3. License
3.1. License Grant
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to use the Application for personal, non-commercial purposes. One license supports activation on two personal computers and must not be shared with other persons.
3.2. Restrictions
You may not:
- Modify, reverse engineer, decompile, or disassemble the Application
- Distribute, sublicense, lease, rent, loan, or otherwise transfer the Application to any third party
- Remove, alter, or obscure any proprietary notices on the Application
- Use the Application for any illegal purpose
4. Feedback
By providing feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use your feedback without any obligation to compensate you.
5. Third-Party AI Model - Gemma
5.1. Gemma Integration
The Application incorporates Google's Gemma AI model to provide document processing functionality. Your use of the Application is subject to both these Terms and Google's Gemma Terms of Use.
5.2. Gemma Terms and Restrictions
By using the Application, you agree to comply with the Gemma Terms of Use found at https://ai.google.dev/gemma/terms and the Gemma Prohibited Use Policy found at https://ai.google.dev/gemma/prohibited_use_policy, both of which are incorporated by reference into these Terms.
5.3. Prohibited Uses
You must not use the Application (including its AI functionality):
- For any of the restricted uses set forth in the Gemma Prohibited Use Policy
- In violation of applicable laws and regulations
- For any purpose that conflicts with Google's Gemma Terms of Use
Without limitation, prohibited uses include but are not limited to: generating harmful, illegal, or malicious content; creating content that violates intellectual property rights; harassment or abuse; and any use that violates applicable laws.
5.4. Gemma License Notice
Gemma is provided under and subject to the Gemma Terms of Use found at https://ai.google.dev/gemma/terms.
5.5. Model Derivatives
The Application may use Gemma or derivatives of Gemma ("Model Derivatives"), all of which remain subject to Google's Gemma Terms of Use.
5.6. Enforcement
Violation of the Gemma Terms of Use or Prohibited Use Policy constitutes a material breach of these Terms and may result in immediate license termination without prior notice.
6. Privacy and Data
6.1. Data Processing
The Application processes and stores all data locally on your device. We do not collect, store, or transmit any of your documents or personal information. We do not collect, store, or transmit any analytics outside your local environment.
6.2. Your Responsibility
You are solely responsible for all documents and data processed through the Application.
7. Updates and Modifications
7.1. Updates
We may provide updates to the Application that fix bugs, improve features, or add new functionality. You agree that we may require you to install updates manually to continue using the Application.
7.2. Terms Updates
By downloading and installing any update to the Application, you agree to be bound by these Terms and any amended Terms that accompany the update. If you do not accept an update or amended Terms, your sole remedy is to discontinue use of the Application.
7.3. Update Consequences
Some updates may cause temporary disruption of functionality or loss of certain features. We will notify you of updates through in-app notifications and/or email communications.
8. Disclaimer of Warranties
For EU Consumers: This section does not affect your statutory rights under applicable consumer protection law, including the two-year conformity guarantee.
For all users: THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
9. Limitation of Liability
9.1. EU Consumer Protection
For EU Consumers: This limitation of liability does not apply to:
- Personal injury or death caused by our negligence
- Fraud or fraudulent misrepresentation
- Any other liability that cannot be excluded under applicable consumer protection law
9.2. General Limitations
TO THE MAXIMUM EXTENT PERMITTED BY LAW, our total liability shall not exceed the amount you paid for the Application license.
10. Indemnification
You agree to defend, indemnify, and hold us harmless from claims arising out of your use of the Application, except where such claims result from our breach of these Terms or applicable law.
11. Termination
11.1. Termination Rights
We may terminate these Terms for material breach with reasonable notice. EU consumers have additional termination rights under applicable consumer protection law.
12. Changes to Terms
We reserve the right to modify these Terms. We will provide reasonable notice of material changes as described in Section 7.3. Continued use of the Application after such changes, or installation of an update as described in Section 7.2, will constitute your acceptance of the new Terms.
13. Governing Law and Dispute Resolution
13.1. Governing Law
These Terms shall be governed by German law.
13.2. Dispute Resolution
For EU Consumers: You may bring legal proceedings in the courts of your country of residence or Germany. You also have access to the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr/
For Business Users and Non-EU Consumers: Disputes shall be resolved through binding arbitration in accordance with the rules of the German Arbitration Institute (DIS), subject to applicable law.
14. GDPR Compliance
As a company based in Germany, we comply with the General Data Protection Regulation (GDPR). You have rights regarding personal data including access, rectification, erasure, restriction of processing, data portability, objection to processing, and withdrawal of consent.

16. Severability
If any provision is found unenforceable, it will be limited to the minimum extent necessary while preserving the remainder of these Terms.
17. Entire Agreement
These Terms constitute the entire agreement regarding the Application, subject to applicable consumer protection laws that cannot be waived.
